2024 AGM VOTE OUTCOME UPDATE STATEMENT
At the 2024 AGM, 59.51% of the votes were against Resolution 5, which concerned the advisory resolution on the Company’s 2024 Directors’ Remuneration Report. In accordance with the requirements of the UK Corporate Governance Code, over the last six months we have engaged with Shareholders, including those who voted against resolution 5, to understand their concerns.
We understand that the primary concern with the 2024 Remuneration Report relates to the decisions taken regarding the termination arrangements for our former Group Chief Executive Officers Mr Forde and Mr McMahon and the disclosures of these arrangements.
During the engagement process with Shareholders we have:-
- provided further details regarding the termination arrangements for Mr McMahon and the context for the decisions made. These details will also be included in our 2025 Remuneration Report.
- undertaken a detailed review of the contracts for our Executive Directors and taken steps to mitigate the risk of termination arrangements being made which do not align with investor expectations for a UK listed company.
- reviewed the format and disclosures in the 2025 Remuneration Report to enhance the clarity and transparency.
Aligned with our commitment to enhanced transparency, we will write to Shareholders ahead of the publication of the 2025 Remuneration Report to provide a summary of decisions we have taken in relation to Executive Directors’ remuneration.
